Privacy Policy

Definitions
“Developer” refers to Ellavatedstudio
“Client” refers to the individual or organisation purchasing services.
“Services” refers to website design, development, maintenance, and related digital services.

Scope of Services
2.1 The Developer will provide website development services as outlined in the agreed
proposal or quotation.
2.2 Any additional work outside the agreed scope will be subject to additional fees.
2.3 The Client agrees to provide all necessary content, images, branding materials, and
access credentials in a timely manner.

Fees & Payment Terms
3.1 A non-refundable deposit of 50% is required before work commences.

3.2 The remaining balance is due upon completion and prior to website launch. 3.3 Payment terms are 30 days from invoice date.
3.4 Late payments may incur statutory interest under the Late Payment of Commercial
Debts (Interest) Act 1998.
3.5 The Developer reserves the right to suspend work for overdue invoices.

Revisions & Amendments
4.1 The project includes _ rounds of revisions as specified in the proposal. 4.2 Additional revisions will be charged at £40 per hour.

Client Responsibilities
5.1 The Client warrants that all materials supplied do not infringe copyright or intellectual
property rights.
5.2 The Client is responsible for final review and approval before launch.

Intellectual Property
6.1 Upon full payment, the Client will own the final website design and content, excluding
third-party tools, plugins, or licensed materials.
6.2 The Developer retains the right to display the completed project in their portfolio and
marketing materials.

Third-Party Services
7.1 The Developer is not responsible for issues arising from third-party hosting providers,
domain registrars, or plugins.

7.2 Ongoing hosting, domain renewal, and maintenance are the Client’s responsibility
unless covered by a separate agreement.

Governing Law
These Terms & Conditions shall be governed by the laws of England and Wales.

Website Maintenance & Support
8.1 Ongoing support is not included unless agreed in writing.
8.2 Maintenance packages may be offered under a separate agreement.

Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared
during the project.

Liability
10.1 The Developer will perform services with reasonable skill and care.
10.2 The Developer shall not be liable for indirect or consequential loss, including loss of
profits, data, or business interruption.
10.3 Total liability shall not exceed the total fees paid for the project.

The Developer does not guarantee specific search engine rankings, increased traffic, or
specific performance results. Search engine optimisation outcomes depend on numerous
external factors beyond the Developer’s control, including search engine algorithms and
competitor activity.

Accessibility Compliance
Unless specifically agreed in writing, the Developer does not warrant that the website will
meet specific accessibility standards (including WCAG compliance). Accessibility
enhancements can be provided upon request and may incur additional fees.

Website Security Limitation
While reasonable security measures may be implemented, the Developer does not
guarantee that the website will be free from hacking, malware, or security breaches. The
Client is responsible for maintaining secure passwords and updating software where
applicable.

Backup Responsibility
Unless expressly included within a maintenance agreement, the Client is responsible for
arranging regular website backups. The Developer shall not be liable for data loss where
backup services are not contracted.

Force Majeure
The Developer shall not be liable for failure or delay in performance caused by
circumstances beyond reasonable control, including but not limited to natural disasters,
government actions, internet outages, strikes, or technical failures.

Termination
16.1 Either party may terminate the agreement in writing.
16.2 The Client shall pay for all work completed up to the termination date.

Data Protection
Both parties agree to comply with UK GDPR and the Data Protection Act 2018 where
applicable.
